The question to be answered, therefore, has two distinct parts. Did plaintiff sustain the burden of producing in court a writing adequate to satisfy the requirement of Section 851.92(1) Stats.? If he did, do the trial court's instructions reflect this fact? If he did not satisfy the requirement, what standards were proper? The trial court gave the following instruction respecting proof of services:
"The quantum meruit theory of recovery depends upon a given person, the plaintiff, performing valuable services for the decedent, which he requested or which were knowingly accepted by him. If you find from a preponderance of the evidence that he made the claim of an oral agreement to provide for him in the will, the burden then falls upon him to show by clear, satisfactory, and convincing evidence that he performed such services either at the request of the decedent or that they were in fact knowingly accepted by her, and he must further show that he expected compensation therefor and that she understood this was so. However, if you should fail to find that there was such an agreement, then you would require only a preponderance of the evidence to find that he performed the services under the expectation of compensation." The respondent claims this instruction sets forth the proper burden of proof because there was some written memorandum 1-4.

supported by plaintiff's testimony connecting Jim to Mrs. Chayka's property. He asserts he did not have to prove the agreement in writing to apply the preponderance-of-evidence test. For this position, respondent relies on Holty's Estate, supra. In Holty's Estate, however, the claimant was the niece of decedent. The presumption that services were given gratuitously, therefore, applied. To overcome that presumption, the niece attempted to establish an express contract to pay for the services but she lacked a written memorandum. Consequently, she had to prove the express contract by direct and positive evidence or by the equivalent thereof. There was no question of which test properly applied. Because of the necessity to overcome the presumption of gratuitous services by an express contract with no writing available, the strict rule was the only one that could be used. Therefore, the court's language, that where there is a writing the general rule of preponderance of evidence applies while the strict rule of clear, satisfactory and convincing evidence applies to an oral contract, must be read with the family relationship in mind. A claimant, with no family relationship or other condition in overcoming the presumption of gratuitous service, does not need to prove an express contract and therefore may claim under an implied contract. Here, the burden of proof is the preponderance of the evidence. When a nonfamily claimant in an implied contract relies on a promise to pay under a will, we have already noted he must also prove the contract to pay at death. Proving the contract to pay at death requires a writing or in its absence, the strict burden of proof. We consider Holty's Estate, therefore, strictly limited to its facts.
In Holty's Estate, the court held that to establish a contract where no writing is available, the evidence must be clear, satisfactory and convincing. To establish a contract where a writing is available, the preponderance-of-the-evidence test applies. The issue, however, was what constitutes a writing to allow the preponderance test. To satisfy the requirement of Section 851.92(1) Stats., the document must contain "the material provisions of the contract." Therefore, a mere piece of paper is not enough. The paper must establish the contract. Here, the evidence was an envelope with "For Jimmy" and $10,000 cash. By no stretch of the imagination can this be construed as a contract "to provide for him in the will." At best it shows Mrs. Chayka's intent to give Jim $10,000. It is a far cry from a contract to compensate for services rendered. We, therefore, hold the writing required to reduce the burden of proof from clear and convincing to a preponderance of evidence must contain the material provisions of the contract.
The trial court gave the instruction above which we believe correctly 8-9. states the law. Because no family relationship existed the respondent enjoyed the presumption that services are rendered for pay. He need only prove the implied contract by a preponderance of the evidence. An implied contract, however, generally is one that is due evenly upon completion of the work. By relying on a contract to pay out of the will, the plaintiff claims under a contract to pay at death. To prove a contract to pay at death he must overcome the strict burden of proof because no writings to that effect exist. Therefore, we hold that when an implied contract to pay for services rests on an agreement to pay at death, and no writing exists, the clear, satisfactory and convincing test is the proper burden of proof. Affirmed.

O'Keeffe v. Snyder 416 A.2d 862 (N.J. 1980)
Justice Pollock. This is an appeal from an order of the Appellate Division granting summary judgment to plaintiff, Georgia O'Keeffe, against defendant, Barry Snyder, d/b/a/ Princeton Gallery of Fine Art, for replevin of three small pictures painted by O'Keeffe. O'Keeffe, plaintiff, who is 93 years old, is one of the more widely celebrated American artists. Defendant, Snyder, is an art dealer who claims to be a purchaser for value of the paintings. In her complaint, filed in March, 1976, O'Keeffe alleged she was the owner of the paintings and that they were stolen from a New York art gallery in 1946. Snyder asserted he was a purchaser for value, he had title, and that O'Keeffe's action was barred by the expiration of the six-year period of limitations...for an action in replevin. Thus, the court must resolve the clash between the right of an owner to recover stolen property and the protection accorded to a purchaser of that property. Both the trial court and The Appellate Division attempted to resolve the dispute by determining whether the statute of limitations had run. The trial court found O'Keeffe's action to be barred, but the Appellate Division found the action commenced within the required time and granted summary judgment for O'Keeffe. We reverse and remand.
The record, limited to pleadings, affidavits, and excerpts from depositions, is fraught with factual conflict. O'Keeffe alleges that three small water colors were stolen from the gallery of her husband, Alfred Steiglitz, in New York, in 1946. Furthermore, she did not report the loss because she and her husband were discussing whether or not the paintings had actually been stolen. They decided that a report would be fruitless and she did not notify anyone, including the Art Dealers Association of America. In 1946, however, there was no registry for stolen art. When Alfred Steiglitz died in the summer of 1946, she did not list the paintings in his estate, though one was his. O'Keeffe did not know until 1976 what had happened to the paintings. Snyder claims to have traced the paintings through three family members who bought them from another person who had purchased them from an unknown person in 1946. There is no proof of the original sale, nor of O'Keeffe's knowledge of the sale. 3.
The issue on this appeal is whether the expiration of the six-year statutory period of limitations bars the action of the plaintiff to recover stolen art. Underlying that issue is the question of when the statute of limitations begins to run. Snyder claims the statute of limitations ran on the original thief so that title became vested in the thief in 1952. Relying on the established rule, O'Keeffe asserts that a thief never acquires title and cannot transfer good title to others. O'Keeffe further argues that the statute of limitations does not run on a thief or an innocent successor, but depends on the expiration of the statutory period of limitations. 4-5. In New Jersey, an action for replevin of goods or chattels must be commenced within six years "after the cause of any such action shall have accrued." N.J.S.A. 2A: 14-1. The purpose of a statute of limitations is "to stimulate to activity and punish negligence." The statute of limitations penalizes dilatoriness and serves as a measure of repose. The general rule is that a cause of action accrues when the right to institute and maintain a suit first arises. A cause of action usually accrues when the first original wrong occurs. However, because of the strictness of the general rule, this court has sometimes used the continuous wrong theory, which says that the statute does not begin to run until the course of conduct ends. The continuous wrong theory is not useful when there is a lapse of time between the theft and the discovery of the paintings. The primary theory, therefore, is the discovery rule. The discovery rule says that the cause of action does not accrue until the injured party discovers or should have discovered facts which form the basis of a cause of action. The discovery rule is essentially a principle of equity, the purpose of which is to mitigate unjust results that otherwise might flow from strict adherence to a rule of law. It avoids mechanical application of the statute to a plaintiff who is not aware of the wrong or who is aware but does not know who did the wrong. It has been applied to professional, medical, and dental malpractice. Does it apply to replevin?

Other jurisdictions have examined the effect of the expiration of the statute of limitations on the right of an owner to recover stolen art. Redmond v. New Jersey Historical Society, 132 N.J. Eq. 464 (E. & A. 1942). 7.
We find no reason to prevent the application of the discovery rule to replevin actions. First, the application of the rule avoids the anomaly of a thief acquiring title, but an innocent purchaser being denied title. More importantly, however, the discovery rule focuses on the conduct of the owner. Is the owner negligent, and if he is, does that effect the application of the rule? When does the statute of limitations commence? If an owner pursues his property with due diligence, he should be able to recover it. It follows that the statute of limitations should not begin to run until the owner knows or has reason to know the identity of the person with whom to file the action. As long as the owner uses due diligence he may, however, fail to determine the facts to base an action. Then, the statute of limitations does not commence. It also follows that if an owner uses due diligence and fails to locate the stolen property, the owner should not be barred from maintaining an action. By using the discovery rule, the burden remains on the owner to show he used due diligence to find the paintings at the time of the alleged theft and thereafter. Whether an owner uses due diligence is to be determined by the facts of each case, which include but are not limited to the nature and value of the property, and the method of search. We hold that the discovery rule, not the continuous wrong theory, governs an action in replevin. Therefore, O'Keeffe's cause of action accrued when she first knew, or reasonably should have known through the exercise of due diligence, of the cause of action, including the identity of the possessor of the paintings. This holding makes it unnecessary to consider Snyder's defense of adverse possession. The judgment of the Appellate Division is reversed and the matter is remanded to the trial court for a plenary hearing to determine if O'Keeffe's action is barred. Justice Handler, Dissenting.

By adopting the discovery rule, the Court has shifted the burden of proof to the plaintiff, who now must prove her cause of action is not barred by the expiration of the six-year period of limitations. Although the principle is a matter of equity, it is generally to be used when looking at commercial practices and the rights of consumers. To apply the discovery rule in this case is to distort the rule and ignore the realities of the art world. I would not apply the discovery rule in an action of replevin. Instead I would rely on the doctrine of adverse possession to determine rights in personal property. It is more appropriate and will not require expanding the discovery rule. I, therefore, dissent. 3-4. By adopting the adverse possession doctrine we do not expand the discovery rule. Nor does the application of the adverse possession doctrine shift the burden of proof to the plaintiff. Instead, the burden is placed upon the one who asserts the defense of the expiration of the statute of limitations. Historically, adverse possession requires the possession to be hostile, actual, visible, exclusive and continuous. If these elements are present, the statute of limitations runs over the possessory period. However, we have come to rely on the "open and notorious" element to apply to chattels. If the possessor of a chattel leaves the chattel in an open and notorious place, the statute of limitations runs and title passes to the possessor. Conversely, if the chattel is hidden, the statute of limitations does not run and title remains with the owner. The application of the general elements of adverse possession usually requires physical possession to be visible.
5. In my opinion, the physical possession need not be visible if there is some other method of determining the possessory rights of the parties. Often in the art world a person may purchase a painting from a reputable art dealer, display the painting in his home, and sell the painting without anyone ever knowing of the transaction. Because art often commands a high price it is usually well documented. This case, however, relies upon a missing link in the chain of ownership. It is my opinion that we could require owners to register their art or other chattels. A central registry of art and other chattels would provide notice to the world of stolen property and would also provide a record of sales and purchases. As a condition to claiming adverse possession, therefore, a purchaser would have to check the registry. We do not have such a registry. I therefore cannot join the Court's application of the discovery rule. If any rule is to be applied, we should look to the adverse possession doctrine to determine the rights of the parties. Accordingly, I would affirm the Appellate Division's decision that O'Keeffe is entitled to summary judgment. Questions for analysis:

A MEMORANDUM OF LAW
20.1 Generally
A memorandum of law is an informational and somewhat formal paper that explains the law on a particular point. That point of law determines the memorandum's theme around which you will weave your analysis of facts relative to existing laws. This process is generally called applying the law to the facts, but the trick to this lies in explaining what the law actually is. Your facts are static. Depending on how you research and present your evaluation of them, your perception of the law that applies to those facts can, however, be dynamic.
You will usually be asked to write a memorandum of law by your reviewing attorney before he or she advises a client, responds to an opponent, or goes to court.
A memorandum requires objective analysis since your purpose is to find the law as it is and to examine all sides of a potential dispute to predict how a court might rule under the facts that have been given to you. Later you may be asked to draft an opinion or advice letter to the client, laying up the problem and its potential resolution. Before you write such letters, you will write a memorandum analyzing those facts, and in this process you may discover that some of the facts really aren't clear. You will want to be sure to make your understanding of the facts explicitly clear. Do this when you formulate the issues, the brief answer, and the statement of facts. To best explain how a memorandum is prepared, let's trace its development.
20.2 Getting the Topic
You begin by interviewing the prospective client (or someone who has) to get the facts. Assume client has given you the facts below. Notice that right away there's a problem with definition: Is he an "employee?" We had better note this down for research! (Client says yes, but facts indicate he wasn't really working hard at the time the problem arose.) The lawyer who took down these notes didn't probe any further. These, then, are our facts:

So with your second leg. Look back toward your body weight going into the turn instead of your skis/body going forward along your trajectory.
It is a scary transition from the safety-feel of carving through with your first foot (the ski doesn’t feel like slipping out then: it only will when you really fuck up a spin that you end up catching an edge from it when carving).
Once you get it sliding with weight, the edge control, pressure of body weighting and snow control comes super quick and you will get much better turns down quicker.
Don’t jump it around. But it depends on the snow of course. But honestly, jumping it around takes away the opportunity for better turns coming down imo. Just swing the back foot forward/around by dropping your core (torso mostly). It’s not a full-on leg motion for a hockey stop unless you wanna just stop fast on a groomer. Or want to wipe a lot of snow down a line just for laughs lol
Try: (not too much to over-commit) body weight into mountain, sliding backwards down fall line a bit for extra speed control with your legs, before going into regular skiing position for the actual turn/switch of edges down to continue normal carving along your line .
This is just me mentally processing what my body does when I ski. Sounds insane on text but it translates well on piste if you feel what I’m actually saying. Best I can offer without a video of you doing it and then me trying it out haha.
No honestly i think i get what you're saying, like rather than keeping yourself perpendicular to the skis as you push your tails down the hill, more kinda dropping behind into a skid so im not working against myself ?
When hockey stopping, stand up! It’s what I learned recently; and so what I was doing was I was so low my edge dug in and therefore almost launched me. By standing up you unweight your edges allowing them to slide. Let me know I’m hoping it’s at least decent advice 🤣 (I’m 6’1” tho lol so low to you is probably completely different from my low😭)

For right now though because I’m so new. Usually the big bumps like at the end of the day or just moguls totally mess me up 😂I haven’t really figured it out so well yet so it leads to me tomahawking or flying around looking like a cartoon character that’s arms and legs are running mid-air🤣
Ahaha hopefully by extending kinda over them it’ll do it and you don’t even have to completely change the way you do it, just the way your legs extend a little right as your turning them down into it (also leaning down into the hill once they are across really helps a ton too to slow me down fast! Good point to be able to like shock absorb, I definitely noticed that as I grew more into my legs 😂
As another somewhat short guy this could be an issue of skis size. As well as the fact the turning skis sharply going 25mph when they expect to be pointed straight is incredibly difficult

When Im stopping quickly, usually something surprises me, right?. It doesnt matter my speed, if im caught off guard my body tenses up/ I try to force movements too intensely and im trying to throw my skis sideways quickly. The edge catches and bam over I go.
Thinking rationally rn in an office chair making a quick speed check/stop has to be a smooth movement regardless of fast you initiate the slide, almost 2 separate movements, a smooth slide initiation that can gradually change to a hard stop but never sudden
